Clipflow Terms of Service

These Terms govern access to and use of the Clipflow website, managed workspaces, social-platform integrations, publishing workflow, and support services.

1. Acceptance of Terms

By accessing Clipflow, requesting a workspace, connecting an account, approving a post, or otherwise using the service, you agree to these Terms and the Privacy Policy. If you do not agree, do not use Clipflow or connect a social account.

2. Eligibility and authority

You must be legally able to enter into these Terms and be at least 18 years old, or the age of legal majority where you live. If you act for an organization, you confirm that you have authority to bind that organization. You may connect only accounts and channels that you own or are authorized to manage.

3. Clipflow service

Clipflow provides a managed workflow for receiving creator content, reviewing and editing metadata, selecting destinations, approving publication, sending approved material to connected platforms, and reporting results. Features and supported platforms may change as APIs, approvals, and operational requirements evolve.

Access is currently provided through managed onboarding. Clipflow may accept, limit, pause, or decline onboarding to protect service quality, security, and compliance.

4. Workspace access

You are responsible for keeping workspace access, devices, email, messaging accounts, and authentication details secure. You must promptly report suspected unauthorized access. Actions performed by authorized workspace administrators are treated as instructions from the workspace owner unless Clipflow has been notified otherwise.

5. Connected social accounts

Connecting a platform authorizes Clipflow to use the granted token and scopes only for requested service functions. Clipflow does not receive or need your social-platform password. You may revoke access through the platform or request disconnection from Clipflow.

You are responsible for checking the selected account and destination before approving publication. Revocation does not undo posts already submitted or published.

6. User content and permissions

You retain ownership of content you provide. You grant Clipflow a limited, non-exclusive, revocable license to host, process, format, transmit, and display that content only as needed to provide, secure, troubleshoot, and improve the requested workflow.

You represent that you own the content or have all rights, consents, releases, music licenses, and permissions needed to process and publish it, including permissions involving minors, trademarks, personal information, or third-party material.

9. TikTok and other third-party platforms

Connected platforms are independent third parties. Their terms, privacy policies, account rules, review decisions, permissions, technical limits, and fees apply separately. Clipflow is not affiliated with or endorsed by those platforms.

For TikTok publishing, users must comply with TikTok's Terms of Service, Community Guidelines, intellectual property requirements, Music Usage Confirmation, and branded-content rules where applicable. TikTok may restrict privacy options, posting frequency, account eligibility, processing, or visibility.

Clipflow cannot guarantee that a platform will authorize an account, accept a post, complete processing, preserve a post, return a public URL, or maintain an API feature.

10. Intellectual property

Clipflow's software, workflow, branding, documentation, and website content are protected by applicable intellectual property laws. Except for the limited right to use the service under these Terms, no Clipflow rights are transferred to users.

11. Fees

Any paid onboarding, integration, or service arrangement will be disclosed separately before charges apply. Third-party platform, storage, connectivity, or account fees remain the user's responsibility.

12. Service changes and availability

Clipflow may update, suspend, replace, or discontinue features for maintenance, security, legal compliance, platform API changes, or operational reasons. Reasonable efforts are made to maintain reliability, but uninterrupted or error-free operation is not guaranteed.

13. Suspension, termination, and deletion

You may stop using Clipflow, revoke platform authorization, or request workspace deletion. Clipflow may suspend or terminate access for security risk, misuse, non-payment, platform request, legal requirement, repeated operational harm, or breach of these Terms.

After termination, operational data will be deleted or anonymized according to the Privacy Policy, except for records reasonably required for security, legal compliance, dispute resolution, or enforcement. See Data Deletion Instructions.

14. Disclaimers

To the extent permitted by applicable law, Clipflow is provided "as is" and "as available." No warranty is made that every platform will accept or display content, that every integration will remain available, or that user content complies with law or platform rules.

15. Limitation of liability

To the extent permitted by applicable law, Clipflow and its operator will not be liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, audience, opportunity, data, or platform access arising from use of the service or a third-party platform. Nothing in these Terms excludes liability that cannot legally be excluded.

16. Indemnity

To the extent permitted by law, you agree to defend and hold the Clipflow operator harmless from third-party claims, losses, and reasonable costs arising from your content, your connected accounts, your violation of another person's rights, or your breach of these Terms.

17. Changes to these Terms

These Terms may be updated when the service, connected platforms, or legal requirements change. The effective date will be revised. Continued use after an update means acceptance of the revised Terms, subject to any notice or consent required by law.

18. General terms

If any provision is unenforceable, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver. You may not transfer these Terms without consent; Clipflow may transfer them as part of a legitimate transfer of the service. Applicable mandatory consumer rights are not limited by these Terms.
